These Terms govern your use of Vaarto — the WhatsApp Business API platform operated by the company identified at the foot of this page (“we”, “us”, “Vaarto”). By creating an account, registering a number or calling the API, you agree to them on behalf of the business you represent (“you”, “Customer”), and you confirm you are authorised to do so.
If you do not agree, do not use the service.
1. What the service is
Vaarto lets your business send and receive WhatsApp messages over an HTTP API and a shared inbox. We are an independent technology provider building on Meta’s WhatsApp Business Platform. We are not Meta, we are not affiliated with Meta beyond that, and WhatsApp is a trademark of Meta Platforms, Inc.
Your WhatsApp Business Account is yours. Meta requires every business that messages on WhatsApp to hold its own WhatsApp Business Account (WABA). You create or connect yours during signup, inside Meta’s own dialog, signing in with your Facebook account and accepting Meta’s terms directly. We never see your Facebook password.
What that grant lets us do is bounded by the permissions you approve in that dialog:
- send and receive messages on the numbers you connect, on your instruction;
- read and manage the WABA’s numbers, message templates, profile and quality status, so the console can show them and you can edit them in one place.
We do not use your WABA to message anybody on our own behalf, and we do not use it for any purpose other than operating the service for you.
You can revoke it at any time. Remove Vaarto as a partner in your Meta Business settings, or disconnect from the console. Your WABA, your numbers and your message history on Meta’s side stay with you.
2. Your account
You are responsible for everything done under your account, including by your team members and by anything holding one of your API keys.
- Keep credentials secret. An API key is a bearer credential: anyone holding it can act as you, within that key’s scopes. Issue a key per job, and revoke a key the moment it may have leaked.
- Tell us promptly if you believe an account or key has been compromised.
- You must give accurate registration details and keep them current.
- You must be able to form a binding contract, and must not be barred from receiving services under Indian law or under Meta’s terms.
3. Your numbers
A phone number you connect must be one you own or are authorised to use, and must not already be active on WhatsApp in a way that conflicts with registration.
While a number is connected to Vaarto:
- It sits on your WhatsApp Business Account and remains yours throughout. We do not use it to message anybody on our own behalf.
- Meta controls its messaging limits, display name approval and quality rating. A number that attracts blocks or reports can be rate-limited, restricted or disabled by Meta. That decision is Meta’s, not ours, and we cannot reverse it.
- On termination you keep the number and the WABA. Disconnecting Vaarto removes our access; it does not deregister your number or close your account with Meta.
4. Your data and your customers’ data
Message content, recipient numbers, media and the metadata you attach belong to you.
For personal data about your customers, you are the Data Fiduciary (controller) and we act on your documented instructions as a Data Processor. You are responsible for:
- having a lawful basis and the opt-in WhatsApp requires before you message anybody;
- honouring opt-outs, including a recipient who replies STOP;
- the accuracy and legality of what you send.
Do not place passwords, API keys, card numbers or other secrets in the metadata field. We
do not read inside it, and it is returned in full on every read of the message.
Our handling of personal data is set out in the Privacy Policy, and the third parties involved in Sub-processors.
5. Acceptable use
Your use of the service is subject to the Acceptable Use Policy, which forms part of these Terms.
You must also comply with Meta’s own terms as they apply to you — including the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy. Where Meta’s terms are stricter than ours, Meta’s apply. Meta may change them without notice to us.
6. Fees, taxes and Meta’s charges
Plan fees, where they apply, are stated on our pricing page and charged in advance for each billing period. Fees are exclusive of GST and other taxes, which are added where applicable.
Meta charges separately for conversations. WhatsApp bills per 24-hour conversation at a rate set by the recipient’s country and the conversation category. We pass this through at cost and show the rate and the conversation count on your invoice. We do not mark it up, and we cannot refund it once a conversation has opened — see Refunds and Cancellation.
Exceeding a plan’s number, seat or key allowance does not stop your sending. We will tell you in the console and on your next invoice.
7. Availability, support and changes
We work to keep the service available but do not promise uninterrupted operation. The service depends on Meta’s Cloud API, which we do not control.
Support channels and response targets are those stated for your plan. We may change, add or remove features. Where a change materially reduces the service, we will give reasonable notice by email or in the console.
Documented API endpoints are versioned. We may introduce breaking changes in a new version and will not remove a published version without reasonable notice.
8. Suspension and termination
You may cancel at any time from the console.
We may suspend or terminate your access, with notice where practicable and immediately where not, if:
- you breach these Terms or the Acceptable Use Policy;
- Meta requires it, or restricts the account your numbers sit on;
- your use threatens the security, integrity or lawful operation of the platform; or
- fees remain unpaid after we have asked.
On termination your right to use the service ends. We will make your message log available for export for a reasonable period, after which it is deleted in line with the retention periods in the Privacy Policy.
9. Intellectual property
We own the platform, the console, the documentation and everything in them. You get a non-exclusive, non-transferable right to use the service while this agreement is in force. You own your content, your data and your trademarks, and you grant us only the licence we need to run the service for you.
You may not copy, resell, reverse engineer or build a competing service from the platform.
10. Confidentiality
Each of us will protect the other’s non-public information with at least reasonable care and use it only for this agreement. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
11. Warranties and disclaimers
We provide the service with reasonable skill and care. To the extent the law allows, everything else is excluded: the service is provided “as is”, and we do not warrant that it will be uninterrupted, error-free, or that any particular message will be delivered, read or acted on. Delivery is ultimately Meta’s and the recipient’s network’s to perform.
Nothing here excludes liability that cannot lawfully be excluded.
12. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits, revenue, goodwill, data or anticipated savings.
Our total liability arising out of or in connection with this agreement, in any twelve-month period, is limited to the fees you paid us in that period — excluding Meta’s pass-through conversation charges, which we collect on Meta’s behalf and do not retain.
13. Indemnity
You will indemnify us against claims, losses and costs arising from your content, your use of the service in breach of these Terms or the Acceptable Use Policy, or your failure to obtain the consents required to message a recipient.
14. Changes to these Terms
We may update these Terms. The “last updated” date at the top of this page changes when we do. For material changes we will give reasonable notice by email or in the console before they take effect. Continuing to use the service after that is acceptance.
15. Governing law
This agreement is governed by the laws of India, and the Indian courts have exclusive jurisdiction over any dispute arising out of it — subject to either party’s right to seek urgent injunctive relief wherever it is needed.
